Selon des informations exclusives de «La Tribune Afrique», c’est finalement le holding de l’homme d’affaires Mohamed Rhissa dit «Rimbo» qui va reprendre les actifs de la filiale locale de l’opérateur français. Malgré la signature d’un accord de principe, le deal entre Orange Niger et le groupe Telecel a finalement capoté. Et pour cette affaire, «Rimbo», déjà actionnaire majoritaire local, s’est allié avec un associé malien, Moctar Tchiam, lui aussi actionnaire minoritaire d’Orange Niger.
Ce n’est finalement pas le groupe Telecel qui va reprendre les actifs d’Orange Niger, mais un consortium mené par l’homme d’affaires nigérien, Rhissa Mohamed, dit «Rimbo». La filiale locale de l’opérateur français, qui était depuis plusieurs mois à la recherche d’un repreneur stratégique pour quitter le marché nigérien, avait pourtant conclu un accord de principe avec le groupe Telecel, comme nous l’avions rapporté en exclusivité, pour le rachat de ses actifs au Niger. La conclusion de l’opération était toutefois conditionnée à la décision des actionnaires minoritaires qui disposaient d’un droit de péremption. Ces derniers ont finalement décidé d’user de ce droit, une proposition acceptée par Orange Niger, et conformément aux statuts de l’entreprise, le deal avec Telecel est devenu caduc.
Malgré un endettement de plus de 70 milliards de Fcfa (110 millions d’euros, selon des informations exclusives d’actuniger), principalement dus aux banques nigériennes, le groupe Telecel (ex-Niel Télécom et présent en RCA), avait décidé de reprendre Orange Niger, dont la licence d’exploitation arrive à échéance dans moins de deux ans. Cependant, l’opération s’était heurtée à la décision de certains des actionnaires minoritaires -au nombre d’une douzaine- dont Mohamed «Rimbo» et son allié malien, Moctar Thiam, également actionnaire d’Orange Niger et de la filiale malienne de la multinationale française. Ces derniers ont décidé d’user de leur droit de péremption et ont engagé de nouvelles négociations avec Orange Niger pour la reprise de ses actifs dans le pays.
Selon nos informations exclusives, le deal avec les nouveaux repreneurs et Orange a été acté le mercredi 21 août et les négociations se poursuivent actuellement avec les grands créanciers, les banques nigériennes. Orange Niger s’est en effet mise en protection judiciaire auprès du tribunal de commerce de Niamey, en février dernier. En juillet, un premier concordat que l’opérateur avait proposé avait été rejeté par les créanciers et le Tribunal en avait pris acte. Les nouveaux repreneurs devront parvenir à un accord d’ici quelques jours avec les créanciers d’Orange et après l’accord du Tribunal, les autorités devront se prononcer d’ici deux mois, ce qui ouvrira la voie au closing du nouveau deal.
Ejecté du deal, le groupe Telecel dénonce un coup bas
L’échec de son deal avec Orange Niger n’a pas été du goût du groupe Telecel qui avait déjà commencé à affiche des ambitions sur le marché nigérien. Dans un communiqué, le groupe a d’ailleurs tenu à dénoncer «une campagne de rumeurs infondées manifestement colportée à dessein». Se disant victime «de manipulations et de mensonges» qui visaient à saboter l’opération du rachat d’Orange Niger, Telecel s’est défendu en mettant en avant «sa capacité à reprendre des opérateurs de télécommunications en Afrique Subsaharienne en situation de difficulté chronique et à les rendre leader sur leur marché en maintenant l’ensemble des équipes en place. Nous ne pratiquons pas les licenciements collectifs lors de nos acquisitions», indiqué le groupe dans son communiqué.
Malgré l’échec de cette première incursion en Afrique de l’Ouest, le groupe Telecel a souligné qu’il «poursuit ses ambitions en Afrique subsaharienne ».

Avec cette nouvelle opération, Orange Niger, dont les salariés sont en grève de 48h depuis le mardi 20 août, va enfin pouvoir quitter le marché nigérien. Une décision que la maison mère a prise depuis le début de l’année, après près de dix ans de présence, et à la suite d’un contentieux avec les autorités fiscales.
En décembre dernier, l’opérateur a même vu ses locaux fermés après avoir refusé de s’acquitter d’un redressement fiscal d’un montant de 22 milliards de Fcfa (33 millions d’euros), soit près de la moitié de son chiffre d’affaires annuel. Orange Niger a contesté le redressement, et a ensuite décidé de quitter le marché nigérien, estimant la pression fiscale trop élevée dans le pays.
En février dernier, l’opérateur s’est mis sous protection judiciaire auprès du tribunal de commerce de Niamey, et un expert a été commis pour négocier avec ses créanciers. Un premier concordat pour un règlement à l’amiable, a été soumis par Orange Niger à la justice nigérienne, mais a été rejeté par les créanciers en juillet dernier, et depuis, l’entreprise a accéléré son plan de départ du marché nigérien. Plusieurs acquéreurs se sont intéressés à la reprise des actifs d’orange Niger, mais ont hésité au regard du passif de l’opérateur dans le pays.
